DEREGISTRATION OF SECURITIES
     This Post-effective Amendment No. 2 to the Registration Statement on Form S-3 (File No. 333-108963) (the “Registration Statement”) is being filed by Aastrom Biosciences, Inc. (the “Company”) to deregister all of the 10,000,000 shares of the Company’s common stock registered on the Registration Statement for the Company’s Direct Stock Purchase Plan that have not yet been sold through the Registration Statement as of the effective date of this Post-effective Amendment No. 2.
